Matrix Sports Confidentiality Agreement and Background Inquiry Authorization

In consideration of my spouse and/or myself being selected or considered to be a dealer or partial owner of a Dealership of Matrix Sports ("MX"), I,____________________________________________________________, agree as follows:

1. All information and materials regarding MX, including, but not limited to, business plans, financial information, costs and prices, service charges, formulas, concepts, ideas, photos, drawings, films, visual and sound recordings, whether written or oral, disclosed to me or learned by me (hereinafter referred to as the "Information") shall be held by me in the strictest confidence and shall not, without MX's written consent, be disclosed to or permitted access by anyone.

2. I understand that unauthorized use, alteration or disclosure of Information or any portions thereof may, in addition to a breach of this Agreement, constitute unfair trade practices, unfair competition and/or trademark infringement.

3. I will not compromise MX's trademarks, advertising or systems by any action, including, but not limited to, recommending to other companies or persons that they utilize MX's trademarks, advertising or systems in whole or in part.

4. All Information shall remain MX's sole and exclusive property, and shall be returned immediately, in their entirety, including all copies thereof, to MX's corporate headquarters in London, upon termination of my relationship with MX or upon MX's request, whichever first occurs.

5. If I become legally compelled to disclose any of the Information, I shall provide MX with prompt notice of such request so that MX may seek a protective order or other appropriate remedy and/or waive compliance with the provisions of this Agreement. In the event that such protective order or other remedy is not obtained or that MX waives compliance with the provisions of this Agreement, I will furnish only that portion of the Information which I am legally obligated to disclose.

6. In connection with my or my spouse’s dealership application consideration by MX, I understand that investigative inquiries may be made on myself as to my work habits, performance and experience. Further, I understand that MX may use an investigative agency (“Agency”) to request information from various federal, state and other agencies which maintain records concerning my past activities, criminal history and consumer report information. I authorize, without reservation, any party or agency contacted by the Agency to furnish the above mentioned information, and I consent to MX receiving the above information from the Agency or any of the Agency’s licensed agents. I also release MX and the Agency and/or its agents from any claims or liability resulting from the reporting of this background information. I agree that a copy of this authorization release is as valid as the original.

7. If any part of this Agreement is held to be void or unenforceable, the remaining terms and provisions shall remain valid and enforceable. The covenants, representations and warranties contained in this Agreement shall survive its termination and the termination of any business relationship between MX and me. The terms of this Agreement shall be governed by, and interpreted under British law.
